Introduction & Acceptance of Terms

Welcome to NexoraFund, an international grant facilitation and funding access platform dedicated to connecting individuals, organizations, community groups, social enterprises, and NGOs with verified grant opportunities, development programs, philanthropic initiatives, and international funding sources.

NexoraFund operates independently as a specialized funding and grant-access platform and works in strategic partnership with Sponsorbridge Ltd, a consulting and project-support organization registered in the Federal Republic of Nigeria. Through this partnership, both organizations collaborate to expand access to funding opportunities, strengthen project readiness, and support eligible beneficiaries across multiple countries and regions.

The NexoraFund platform, accessible through nexorafund.org and its associated applications, portals, and subdomains, serves as a bridge between qualified applicants and a network of international donors, development agencies, foundations, corporate social responsibility programs, and institutional funding partners.

By accessing or using the NexoraFund platform, creating an account, submitting an application, or clicking "I Agree", you confirm that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy.

These Terms apply to all users of the platform including NGOs, funders, administrators, and visitors.

Eligibility & Account Registration

To register and use NexoraFund, you must meet the following eligibility criteria:

• You must be at least 18 years of age.
• You must have the legal authority to represent the organisation on whose behalf you are registering.
• Your organisation must be a legitimately registered entity (NGO, foundation, charity, government agency, or similar) in your country of operation.
• You must provide accurate, current, and complete information during registration and keep it updated at all times.
• You must not have previously been suspended or banned from the NexoraFund platform.

Sponsorbridge Ltd reserves the right to reject, suspend, or terminate any account at its sole discretion, including accounts found to misrepresent their organisation's status or credentials.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

Use of the Platform

NexoraFund grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for your organisation's legitimate grant-seeking or grant-giving purposes.

You agree not to:

• Use the platform for any unlawful, fraudulent, or harmful purpose.
• Upload or transmit false, misleading, or fabricated organisational information or documents.
• Attempt to reverse-engineer, scrape, copy, or replicate any part of the platform's technology, AI systems, or database.
• Sell, resell, or sublicense access to the platform to any third party.
• Interfere with or disrupt the platform's infrastructure, servers, or security systems.
• Use the platform to send unsolicited communications (spam) to other users or funders.
• Impersonate another organisation, person, or entity.
• Upload content that infringes any third-party intellectual property rights.

NGO Verification & Accuracy of Information

NexoraFund offers an optional NGO Verification programme to help funders identify credible organisations. Verification is subject to document review and may take 2–5 business days.

By submitting verification documents, you confirm that:

• All submitted documents are genuine, current, and unaltered.
• Your organisation is legally registered and in good standing in its country of operation.
• You have the authority to submit these documents on behalf of your organisation.

Submission of fraudulent, forged, or expired documents is a serious breach of these Terms and may result in permanent account termination, reporting to relevant authorities, and civil or criminal liability.

NexoraFund reserves the right to revoke Verified status at any time if new information comes to light that contradicts previously submitted documentation.

Grant Matching — No Guarantee Clause

NexoraFund uses artificial intelligence and data-driven algorithms to match NGOs with relevant grant opportunities. While we strive for accuracy and relevance, we do not guarantee that:

• Any matched grant will still be open or accepting applications at the time you access it.
• You will be selected or approved for any grant opportunity listed on the platform.
• The AI match score or compatibility rating will result in a successful application.
• The information provided by third-party funders is accurate, complete, or current.

Grant opportunities listed on the platform are sourced from public databases, partner organisations, and direct funder submissions. Sponsorbridge Ltd is not responsible for the decisions of any funder, and makes no representations about the funding amounts, eligibility criteria, or timelines communicated by funders.

Intellectual Property

All content, software, features, technology, branding, and materials on the NexoraFund platform — including but not limited to the AI matching engine, dashboard design, written content, graphics, and the NexoraFund and Sponsorbridge Ltd names and logos — are the exclusive intellectual property of NexoraFund, operated by Sponsorbridge Ltd, and are protected under Nigerian and international copyright, trademark, and IP law.

You are granted no ownership rights over any part of the platform. You may not:

• Copy, reproduce, distribute, or create derivative works from platform content without written permission.
• Use our brand name, logo, or trademarks in any public communication without prior written consent.
• Claim ownership of any AI-generated output produced by the platform, as such outputs remain the property of Sponsorbridge Ltd.

Your content: You retain ownership of any original content you upload to the platform (e.g. proposals, reports, organisational documents). By uploading such content, you grant Sponsorbridge Ltd a non-exclusive, worldwide, royalty-free licence to use, store, process, and display this content solely for the purpose of providing the platform's services.

User Data & Privacy

NexoraFund, operated by Sponsorbridge Ltd, is committed to protecting your personal and organisational data in accordance with the Nigeria Data Protection Act 2023 (NDPA) and applicable international data protection standards including GDPR where relevant.

We collect and process your data for the following purposes:

• Account registration and identity verification.
• Delivering AI-powered grant matching and platform features.
• Communicating service updates, grant alerts, and platform notifications.
• Improving platform performance and AI accuracy.
• Complying with legal and regulatory obligations.

You have the right to access, correct, export, or delete your personal data at any time by contacting legal@nexorafund.org. Data deletion requests will be processed within 30 days in accordance with the Nigeria Data Protection Act 2023.

Payment Terms & Subscriptions

NexoraFund offers a free tier as well as paid subscription plans (Pro and Enterprise). By subscribing to a paid plan, you agree to the following:

• Billing: Subscriptions are billed monthly or annually as selected at checkout. All prices are displayed in USD unless otherwise stated.
• Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the renewal date.
• Cancellation: You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period.
• No refunds: Payments are non-refundable except where required by applicable Nigerian consumer protection law.
• Price changes: We reserve the right to modify subscription pricing with 30 days' written notice to existing subscribers.
• Failed payments: If a payment fails, your account will be downgraded to the free tier after a 7-day grace period.

All payments are processed securely by our third-party payment provider. Sponsorbridge Ltd does not store your full card or banking details.

Termination of Account

Either party may terminate the account relationship at any time.

You may: Close your account at any time via your dashboard settings or by emailing legal@nexorafund.org. Data will be deleted within 30 days of account closure subject to our data retention obligations.

We may suspend or terminate your account immediately and without notice if:

• You breach any provision of these Terms.
• You submit fraudulent, forged, or misleading documentation.
• Your use of the platform causes harm to other users, funders, or Sponsorbridge Ltd.
• We are required to do so by law or a regulatory authority.
• Your account has been inactive for more than 24 consecutive months.

Upon termination, your licence to use the platform ceases immediately. Any outstanding subscription fees remain due and payable.

Limitation of Liability

To the fullest extent permitted by English law, Sponsorbridge Ltd shall not be liable for:

• Any indirect, incidental, consequential, special, or punitive damages arising from your use of the platform.
• Loss of revenue, profits, funding, data, or business opportunity resulting from platform downtime, errors, or AI inaccuracies.
• Any decisions made by funders, including the rejection of grant applications submitted through the platform.
• Unauthorised access to your account resulting from your failure to keep credentials secure.
• Actions or omissions of third-party funders or organisations listed on the platform.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

Indemnification

You agree to indemnify, defend, and hold harmless Sponsorbridge Ltd, its directors, employees, partners, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach of these Terms or any applicable law.
• Your use of the platform in a manner not authorised by these Terms.
• Any content you upload, submit, or publish on the platform.
• Any misrepresentation of your organisation's status, credentials, or activities.
• Any third-party claims arising from your grant applications or funder interactions.

This indemnification obligation shall survive the termination of your account and these Terms.

Changes to These Terms

Sponsorbridge Ltd reserves the right to update, modify, or replace these Terms at any time. We will notify registered users of material changes via:

• An email notification to your registered address.
• A prominent notice on the NexoraFund platform dashboard.
• An updated "Effective Date" at the top of this page.

Your continued use of the platform after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must cease using the platform and close your account.

We encourage you to review these Terms periodically. The current version will always be available at nexorafund.org/terms-and-conditions.

Governing Law: These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales.

Jurisdiction: Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim arising out of or in connection with these Terms.
